Board of Trustees

Functions and Powers of the University Board of Trustees:

  • Formation of the University Board of Trustees:
  •  Eight members selected by the founders from among themselves.
  •  The Board of Trustees selects a Chairman from among its founding members.
  • Ex-officio Members:
  •  The Vice-Chancellor – Member.
  •  The Deputy Vice-Chancellor – Member.
  •  The University Principal – Member and Rapporteur of the Board.
  •  The Secretary of Academic Affairs – Member.
  • The Dean of Student Affairs – Member.
  •  The Dean of Libraries – Member.
  •  The Dean of Graduate Studies and Scientific Research – Member.
  •  Other Members:
  • Four members selected by the Scientific Council from among its membership.
  • A representative of the alumni, selected in accordance with the regulations – Member.
  • A representative of the students, selected in accordance with the regulations – Member.
  • Two non-teaching staff members, selected in accordance with the regulations – Members.
  • Four external members with scientific competence and expertise, selected by the Chairman of the National Council for Higher Education – Members.
  • The Director General of Administration – Member.
  1.  Board Leadership: Electing a Chairman from among its members and submitting the name to the Chairman of the National Council for accreditation.
  2.  Policy Making: Setting policies and plans for the academic, administrative, and financial development of the institution.
  3. Resource Mobilization: Attracting and mobilizing financial resources.
  4. Budget Approval: Approving the institution's annual plan and budget.
  5.  Leadership Nomination: Nominating a University President (Vice-Chancellor) to the Chairman of the National Council for Higher Education.
  6.  Auditing: Appointing a legal auditor and discussing the annual report or any other submitted reports.
  7. Contracts: Entering into contracts and agreements.
  8.  Senior Appointments: Approving the appointment of senior administrative office holders.
  9. Investments: Investing and growing the institution’s funds through shares in companies or other suitable projects.
  10. Donations: Accepting gifts, endowments, and bequests, provided they do not conflict with the institution's purposes.
  11.  Employment Terms: Approving the terms of service for employees.
  12. Regulations: Issuing statutes, administrative, and financial bylaws that organize the institution's work. 
  13. Job Descriptions: Defining the powers and responsibilities of senior public and administrative leadership positions.
  14.  Tuition Fees: Determining tuition fees.
  15. Scholarships: Allocating scholarships.
  16.  Development Fund: Allocating a significant portion of the revenue (at least 25%) for the growth and development of the university.
  17.  Academic Programs: Approving new academic programs based on the recommendation of the Scientific Council (Senate).
  18.  Infrastructure: Approving the establishment of buildings and facilities based on the University President's recommendation.
  19.  Suspension of Studies: Suspending studies based on the University President's recommendation for a period not exceeding one semester, or longer with committee approval.
  20.  Bylaw Amendments: Amending the regulations governing the board's own operations as deemed necessary.
  • General Provisions:
  1. The term of the Board of Trustees is four years, renewable.
  2.  The Board shall maintain a permanent register of its members to be deposited with the General Directorate of Private and Foreign Higher Education.
  3. The Directorate of Private and Foreign Higher Education must be notified of any changes or renewals in the Board's membership.
  4.  The Board of Trustees is responsible to the National Council for Higher Education, through the General Directorate of Private and Foreign Higher Education, for the institution's performance.
  •  Meetings of the Board of Trustees:
  1.  The Board of Trustees meets at least twice a year at the time and place specified by its Chairman.
  2.  The Chairman of the Board has the right to call an extraordinary (emergency) meeting, or upon the written request of the University President or the majority of its members.
  3. In the absence of the Chairman, the University President shall preside over the meeting.
  4. The legal quorum for the Board of Trustees meeting is reached with the attendance of more than half of the members.
